Please Read Carefully
It is recommended that you read and understand all terms of this Agreement. You may wish to consult legal counsel prior to signing.
Definitions
As used in this Agreement:
"Broker" refers to Realty Net, LLC and its authorized licensees.
"Seller" refers to the legal owner(s) signing this Agreement.
"MLS" means the Multiple Listing Service used by Realty Net.
“Limited Representation” refers to the scope of service provided under this Agreement, which excludes full fiduciary agency.
Agency Relationship
This Limited Representation Agreement is made between the Seller(s) and Realty Net, LLC, an Oregon-licensed real estate brokerage. Realty Net is represented by Greg Messick, Principal Broker, for Oregon listings. Washington State listings are managed under the supervision of Quang Nguyen, Designated Broker (Washington).
Term
This Agreement becomes effective upon signing and shall remain in effect until the earlier of (a) its cancellation by either party prior to a sale, (b) the agreed expiration date, or (c) the date the property closes if under contract.
Broker Services Provided
Realty Net, LLC will provide only those services or products selected and paid for by the Seller at the time of purchase. Additional services must be purchased separately and require written approval.
Broker Service Exclusions
Broker services do not include: property showings, pricing analysis or recommendations, physical inspections or evaluations, or contract preparation (unless specifically purchased). These services are only provided if separately ordered as part of an Agent Assist or Full-Service package.
Seller Obligations
The Seller agrees to: provide accurate property information, comply with all MLS rules and fair housing laws, promptly notify the Broker of any changes to the listing or property status, submit copies of executed sales agreements and related documents upon request, and use only Realty Net’s official Status Update and Change Request Forms (available on the Client Support page).
Seller Representations
The Seller affirms that they are the legal owner(s) of the property, authorized to enter into this Agreement, and that no other listing contract is currently in place for the property.
Seller Disclosures
The Seller agrees to complete all legally required disclosures and to disclose all material facts that may affect the property’s value or desirability.
Compensation Terms
Flat Fee MLS Listings: The Seller pays a flat fee at the time of listing. No commission is paid to Realty Net through escrow unless an upgraded service is purchased.
Agent Assist Packages: A flat fee of $799 (or as otherwise stated) is paid at closing.
Discount Full-Service Packages: The Seller agrees to pay the commission amount listed in the selected package terms.
Buyer’s Agent Commission (BAC)
The MLS does not allow any reference to a Buyer’s Agent Commission in the listing, including public or private remarks. If a buyer’s agent presents an offer, the BAC—if any—is negotiated between the parties and written directly into the offer or sales agreement submitted by the buyer’s agent. The Seller is under no obligation to offer compensation unless agreed to in the executed contract.
Buyer Inquiry Handling
Realty Net will forward buyer or agent inquiries submitted through MLS, IDX, or company websites to the Seller using the contact information provided. Realty Net is not responsible for missed communications due to incorrect or outdated seller contact details.
Cancellation and Refund Policy
This is a remote, non-refundable service. Seller may cancel the listing prior to being under contract by submitting a written request. No refunds will be issued once services have been initiated, regardless of listing status or Seller decisions. Realty Net will process cancellations within a reasonable time and update the MLS as appropriate.
Lockbox, Keys & Sales Materials
Any lockboxes, signage, or sales materials provided are used at the Seller’s own risk. The Seller is responsible for securing proper insurance coverage.
Public Display of Contact Information
MLS and IDX rules prohibit displaying Seller contact information in the public remarks or marketing section. Buyer inquiries will be forwarded to the Seller privately.
Remote Service Agreement
This is a remote real estate listing service. All communication, documentation, and support are provided electronically. Realty Net does not act as the Seller's fiduciary agent.
Limitation of Liability
In no event shall Realty Net, LLC or its representatives be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages, arising out of or in connection with this Agreement or the services provided.
Dispute Resolution & Attorney’s Fees
The parties agree to attempt to resolve any disputes arising out of this Agreement through informal negotiations or mediation prior to initiating legal proceedings. In any legal action, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
Indemnification
The Seller agrees to indemnify and hold harmless Realty Net, LLC and its brokers from any liability or claims resulting from inaccuracies, omissions, or misrepresentations provided by the Seller, or disputes related to cooperating broker commissions.
Modifications
No modifications to this Agreement are valid unless in writing and signed by both the Seller and Broker.
Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon. Any legal action arising out of this Agreement shall be filed in the appropriate court located in Clackamas County, Oregon.
Electronic Signatures
This Agreement may be executed electronically, and such signatures shall be deemed valid and binding. A printed or electronically stored copy shall be admissible as original evidence in any legal proceeding.
Acknowledgment
By signing this Agreement, the Seller acknowledges and agrees to all terms outlined above. The Seller affirms they have read, understand, and accept the nature and limitations of this limited representation agreement.
